Eligible Clients

Conduct of Members

You guarantee to Vibefinapp that you won't use the service for any purposes that are illegal or against these terms, conditions, and notices as a condition of using the service. You acknowledge that you are solely accountable for your actions and agree to abide by all applicable local, state, national, and international laws and regulations.

The provisions of the Payment and Settlement Systems Act, 2007, the Prevention of Money Laundering Act, 2002, the RBI Master Direction - Know Your Customer (KYC), the Procedural Guidelines and Business Standards for Bharat Bill Payment System (BBPS), and Information Privacy Act are just a few examples of the laws that you are solely responsible for comprehending and adhering to in your particular jurisdiction.

Vibefinapp keep track of any member's use of the Service or the content of any member session. However, Vibefinapp reserves the right to continuously evaluate, monitor, copy, publish, archive, or otherwise make any information available in its possession to meet any applicable law, rule, regulation, court order, or governmental request.

Your interactions with, and participation in business transactions with, advertisers found on or through the Service, including payment and the provision of related goods or services, and any other conditions, warranties, or representations arising out of such interactions, are strictly between you and those suppliers. You understand and agree that Vibefinapp is not responsible or liable, directly or indirectly, for any loss or damage that may or may not directly or indirectly result from the use of or reliance on any such content, goods or services made available on or through any such site or resource.

Disclaimers

You assume all risks associated with using the service. 'As is' and 'as available' are the terms under which the service is offered. Without limitation, any representation or warranty for the accuracy, continuity, uninterrupted access, timeliness, sequence, quality, performance, merchantability, fitness for any particular purpose, non-infringement, or completeness is expressly disclaimed by Vibefinapp and its respective suppliers. Vibefinapp specifically disclaims any warranties, including but not limited to any warranties regarding the availability, accuracy, usefulness, correctness or completeness of information, as well as any warranties of title, warranty of non-infringement, freedom from computer virus, warranties of merchantability or fitness for a particular purpose, unless such warranties are prohibited from exclusion, restriction, or modification under the laws applicable to the relevant jurisdiction.

Vibefinapp makes no guarantees or claims about the compatibility, accuracy, reliability, or other aspects of the usage or outcomes of the Service. You accept full liability for your access to and use of the Service. You agree that downloading or obtaining any material through the service is done at your own risk and initiative. You alone are responsible for any resulting data loss or computer system harm. No oral or written information you may have learned from Vibefinapp or the service will ever create any warranty not expressly stated in the TOS.

Vibefinapp takes security precautions it deems necessary to provide this Service. Still, it cannot guarantee that no one will manage to go around or circumvent the security measures and gain unauthorised access to the Service or any Member Accounts. Vibefinapp will not be held responsible or liable if an unauthorised person accesses your accounts or the Service; you will be held accountable and responsible in this case.

This exclusion of liability also covers any harm or loss brought on by a failure to perform, a delay in processing or transmission, an error, an omission, a deletion, a defect, a computer virus, a communication line failure, unauthorised access to, alteration of, or use of a record, regardless of whether this was due to negligence, breach of contract, or another cause of action.

Vibefinapp will not be held liable for third parties gaining access to or changing your transmissions or data for any material or information communicated, received, or not sent or received or for any transactions made possible through the service. You expressly acknowledge that any content, data, or information supplied over or included in the Service by a third party is not the responsibility of Vibefinapp.

Restrictions On Liability

You acknowledge and agree that Vibefinapp shall not be responsible for any direct, indirect, punitive, incidental, special, consequential damages or any other damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use or performance of the service or the inability to use or nonperformance of the service; the provision of or failure to provide services.

Unauthorised access to or alteration of your transmissions or data; statements or conduct of any third party on the service; or any other matter relating to the service; whether based on contract, tort, negligence, strict liability, or otherwise; the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the service; The disclaimers, liability restrictions, and indemnities provided by the TOS to Vibefinapp shall, to the maximum extent permitted by applicable law, also apply to Vibefinapp' affiliates, partners, and each of their respective directors, officers, employees, agents, successors, and assigns who are involved in offering, delivering, or managing the Service (or any component thereof). However, this clause does not cover the affiliates above and partners or their responsibilities to Vibefinapp or liabilities for Vibefinapp' claims against them.

Indemnification

You agree to defend and hold harmless Vibefinapp, its parents, subsidiaries, affiliates, officers, agents, co-branders, or other partners and employees from any claim, demand, or damage made by a third party resulting from or arising out of your use of or conduct on the Service, including any reasonable attorneys' fees.

Rights To Vibefinapp

You understand and acknowledge that the proprietary and private information contained in the Service and any other software used in conjunction with the Service (collectively, "Software") is protected by applicable intellectual property and other laws. You consent not to alter, sublicense, loan, sell, distribute, or do derivative works based entirely or partially on the Service or the Software. Any unauthorised commercial use of the Service, the resale of its offerings, or the copying or duplication of the Software to any other server or location for further reproduction or redistribution is explicitly forbidden and may subject the violator to harsh civil and criminal consequences.

You further acknowledge that you will not attempt to decipher any source code for the Software, including (without limitation) gaining unauthorised access to the Service, nor will you permit any third party to copy, modify, decompile, translate, create a derivative work of, reverse engineer, reverse assemble, or otherwise copy the Software. You consent to only using the interface Vibefinapp provided to access the Service. You agree not to use any other method.

Waiver

The inability of Vibefinapp to exercise or enforce any right or provision of the TOS, whether through delay or omission, shall not be construed as a waiver of such right or provision. A waiver on one occasion cannot be used to restrict or waive rights or remedies in the future. Any claim or cause of action arising out of or connected with the use of the Service or the TOS must be brought within three (3) months of the claim or cause of action arising, regardless of any statute or law to the contrary, or it will be permanently barred.

Non-Transferability

By various laws and regulations, Vibefinapp may be obligated to give you certain disclosures and notices and transaction-related notifications, including receipt of bill information, payment advice, payment return advice, etc. You understand and consent to receive all such disclosures and alerts electronically, most frequently via the Internet. You must notify Vibefinapp right away if, for any reason, you do not want to receive the disclosures electronically. Vibefinapp reserves the right to stop offering the Service to you whole or in part in such a situation.

You agree that, aside from any records that Vibefinapp is statutorily required to keep or information that Vibefinapp is statutorily required to provide, Vibefinapp shall have no liability or obligation to keep a record of the transactions carried out through the Vibefinapp Service, to provide information to you, or to verify your Payment Instructions.

You acknowledge that you are responsible for assessing the accuracy, completeness, and utility of any information or data before using it and for taking any necessary precautions.

Regulating Law

This Agreement shall be construed and enforced by India law in all aspects. Regarding any claims or matters arising under these terms and conditions, both you and Vibefinapp agree to submit to the exclusive jurisdiction of the courts in Karnataka, India, to the exclusion of all other Courts. Vibefinapp assumes no responsibility, direct or indirect, for failing to comply with any nation's laws other than India.

Changes To The Terms

You will receive an email notifying you on the website of Vibefinapp. On occasion, Vibefinapp may change the terms. If such changes are made, Vibefinapp must make the updated terms easily accessible. Your use of the offering after the timings have changed or after the deadline for responding to these terms has passed will be seen as acceptance of the new terms.
